- Chaired by the Immediate Past President.
- The President and President-Elect serve as ex officio members.
- Four additional Board members who have a demonstrated understanding of volunteer organization governance issues, appointed by the Executive Committee for a 1-year renewable term.
- Additional at-large members appointed by the Executive Committee as needed to provide specific expertise.
No member of the Governance Committee may simultaneously serve in a Board position for any other professional societies with overlapping membership and interest areas with ISHLT.

- Comprised of the Operating Committee plus 4 additional members.
- The 4 additional members, preferably past officers or directors, engage solely in the nominations and election process and are appointed by the Executive Committee for a 1-year term, renewable twice.
